NUMBER AND STRUCTURE OF BUSINESS ENTITIES, JUNE 2017

 

 

Usporedba broja pravnih osoba u Registru Državnog zavoda za statistiku s brojem aktivnih pravnih osoba u drugim registrima pokazuje da udio aktivnih pravnih osoba iznosi 58,0%.

 

The comparison of the number of legal entities in the Register of the Croatian Bureau of Statistics with the number of active legal entities in other registers shows that the share of active legal entities was 58.0%.

 

 

 

Razlika se pojavljuje zbog primjene različite metodologije načina upisa i određivanja aktivnosti pri pojedinim registrima.

 

This discrepancy occurs due to differences in methodology of data entry method and of defining activities applied in individual registers.

 

 

 

Podatak o broju subjekata obrta i slobodnih zanimanja odnosi se na broj samostalnih poduzetnika koji zapošljavaju ili ne zapošljavaju zaposlenike i na broj osoba koje obavljaju profesionalnu djelatnost prema evidencijama mirovinskog osiguranja.

 

The data on the number of entities in crafts and trades and free lances refers to the number of self-employed entrepreneurs, with or without employees, as well as to the number of persons engaged in a professional activity according to pension Insurance records.

Podaci o strukturi poslovnih subjekata prema djelatnostima pokazuju da je više od polovine registriranih i aktivnih subjekata zastupljeno u četirima područjima djelatnosti: Trgovina na veliko i na malo; popravak motornih vozila i motocikla, s udjelom registriranih od 20,2% i aktivnih od 19,6%, Prerađivačka industrija, s udjelom registriranih od 8,2% i aktivnih od 9,3%, Stručne, znanstvene i tehničke djelatnosti, s udjelom registriranih od 10,0% i aktivnih od 12,5%, te Ostale uslužne djelatnosti, s udjelom registriranih od 16,9% i aktivnih od 13,1%.

 

The data on the structure of business entities by economic activities show that more than half of both registered and active entities belong to the following four activity sections: Wholesale and retail trade; repair of motor vehicles, motorcycles with 20.2% of registered and 19.6% of active entities, Manufacturing with 8.2% of registered and 9.3% of active entities, Professional, scientific and technical activities with 10.0% of registered and 12.5% of active entities and Other service activities with 16.9% of registered and 13.1% of active entities.

 

 

 

Udio profitnih subjekata u ukupnim aktivnim poslovnim subjektima iznosi 80,4% i njihova struktura po djelatnostima pokazuje da ih je 71,8% zastupljeno u pet područja djelatnosti prema sljedećem redoslijedu učestalosti: Trgovina na veliko i na malo; popravak motornih vozila i motocikla (24,3%), Stručne, znanstvene i tehničke djelatnosti (15,5%), Prerađivačka industrija (11,6%), Građevinarstvo (11,2%) te Djelatnosti pružanja smještaja te pripreme i usluživanja hrane (9,2%).

 

The share of profit entities in the total active business entities was 80.4%. Their structure by economic activities shows that 71.8% of them belonged to five activity sections, shown in the order of frequency: Wholesale and retail trade; repair of motor vehicles, motorcycles (24.3%), Professional, scientific and technical activities (15.5%), Manufacturing (11.6%), Construction (11.2%) and Accommodation and food service activities (9.2%).

 

 

 

Udio neprofitnih aktivnih subjekata jest 19,6%. Polovina ih se nalazi u djelatnosti Ostale uslužne djelatnosti. Druga polovina raspoređena je na djelatnosti Umjetnost, zabava i rekreacija (26,8%), Obrazovanje (8,0%), Djelatnosti zdravstvene zaštite i socijalne skrbi (7,5%) te Javna uprava i obrana; obvezno socijalno osiguranje (3,5%).

 

The share of non-profit active entities was 19.6%. Half of them were classified into the activity section Other service activities, while the remaining half was distributed between Arts, entertainment and recreation (26.8%), Education (8.0%), Human health and social work activities (7.5%) and Public administration and defence; compulsory social security (3.5%).

 

 

 

Struktura po djelatnostima poslovnih subjekata obrta i slobodnih zanimanja bitno je ujednačenija u odnosu na strukturu pravnih osoba. Trgovina na veliko i na malo; popravak motornih vozila i motocikla je najučestalija djelatnost. Uz Trgovinu još pet djelatnosti pokriva polovinu ukupnih subjekata.

 

The structure of entities in crafts and trades and free lances by economic activities was much more balanced than the structure of legal entities. Wholesale and retail trade; repair of motor vehicles, motorcycles was the most frequent activity section. Besides Trade, five other activities covered one half of the total number of entities.

Struktura aktivnih pravnih osoba prema oblicima vlasništva pokazuje da je privatno vlasništvo najčešći oblik. Njime je obuhvaćeno 78,4% subjekata. U državnom je vlasništvu 0,8% subjekata, u mješovitom vlasništvu 0,7% subjekata, u zadružnom vlasništvu 0,7% subjekata, a za 19,4% pravnih osoba vlasništvo se ne prati.

 

The structure of active legal entities by ownership types shows that the private ownership predominated with 78.4% of entities, while 0.8% of entities were owned by the state, 0.7% of them were in mixed ownership and 0.7% of entities were in co-operative ownership. The ownership of 19.4% of legal entities was not monitored.

 

 

 

Struktura vlasništva prema djelatnostima pokazuje da su subjekti u privatnom vlasništvu najzastupljeniji u uslužnim djelatnostima, npr. u djelatnostima Trgovina na veliko i na malo; popravak motornih vozila i motocikla, s udjelom od 98,3%, Poslovanje nekretninama, s udjelom od 98,5%, te Prijevoz i skladištenje, s udjelom od 96,9%. Približno isti udio tog oblika vlasništva od proizvodnih djelatnosti imaju Građevinarstvo (98,3%), Prerađivačka industrija (96,3%) te Informacije i komunikacije (97,9%).

 

The ownership structure by activities shows that privately owned entities were predominant in service activities, e.g. Wholesale and retail trade; repair of motor vehicles, motorcycles had a share of 98.3%, Real estate activities of 98.5% and Transportation and storage of 96.9%. Approximately the same share of private ownership existed in the productive activities such as Construction (98.3%), Manufacturing (96.3%) and Information and communication (97.9%).

Promatra li se struktura aktivnih pravnih osoba prema broju zaposlenih, uočljivo je da najveći udio (46,2%) imaju subjekti s 1 − 9 zaposlenih, 43,9% je udio subjekata bez zaposlenih, 7,4% je udio subjekata s 10 – 49 zaposlenih, 2,1% je udio subjekata s 50 – 249 zaposlenih, a samo 0,4% udjela imaju subjekti s više od 250 zaposlenih.

 

By examining the structure of active legal entities according to the number of persons in paid employment, it should be noted that the highest share of 46.2% belonged to entities employing 1 – 9 persons, followed by 43.9% of entities without persons in employment, 7.4% of entities employing 10 – 49 persons and 2.1% of entities employing 50 – 249 persons, while entities employing more than 250 persons had a share of only 0.4%.

U strukturi trgovačkih društava prema pravno ustrojbenim oblicima uvelike prevladava oblik društava s ograničenom odgovornošću, čiji je udio registriranih 80,2% i aktivnih 76,9%. Jednostavno društvo s ograničenom odgovornošću prema brojnosti je drugi oblik. Na njega otpada 18,3% registriranih i 21,7% aktivnih. Ostali oblici trgovačkih društava čine ostalih 1,4%.

 

Limited liability companies were markedly predominant in the structure of trade companies by legal organisational forms, with a share of 80.2% of registered and 76.9% of active companies. Simple limited liability companies held second place by size, with a share of 18.3% of registered and 21.7% of active companies. Other legal forms of trade companies comprise the remaining 1.4%.

Struktura registriranih neprofitnih pravnih osoba prema vrstama pravno ustrojbenih oblika pokazuje da 96,2% čine udruge, ustanove, udruženja i slične organizacije, a 3,8% odnosi se na tijela državne vlasti te tijela jedinica lokalne i područne (regionalne) samouprave.

 

The structure of registered non-profit legal entities by legal forms shows that associations, institutions, co-operations and similar organisations had a share of 96.2%, while state government bodies and bodies of local and regional self-government units had a share of 3.8%.

 

 

 

Promatra li se aktivnost spomenutih pravnih osoba, uočljivo je da je 45,5% aktivnih. Njihova struktura po djelatnostima pokazuje da su to subjekti iz četiriju područja djelatnosti: Ostale uslužne djelatnosti, s udjelom registriranih od 58,0% i udjelom aktivnih od 41,3%, Javna uprava i obrana; obvezno socijalno osiguranje, s udjelom registriranih od 4,5% i udjelom aktivnih od 35,0%, Djelatnosti zdravstvene zaštite i socijalne skrbi, s udjelom registriranih od 5,2% i aktivnih od 65,2%, te Obrazovanje, sa samo 4,1% registriranih, ali s najvećim udjelom aktivnih (89,3%).

 

Concerning the activity of the mentioned legal entities, there were 45.5% of active ones. Their structure by activities shows that they were entities belonging to four activity sections: Other service activities with 58.0% of registered and 41.3% of active ones, Public administration and defence; compulsory social security with 4.5% of registered and 35.0% of active ones, Human health and social work activities with 5.2% of registered and 65.2% of active entities and Education with only 4.1% of registered ones, but with the largest share of active entities (89.3%).

Podaci o teritorijalnoj raspoređenosti poslovnih subjekata na županijskoj razini pokazuju da je nešto manje od jedne trećine ukupno registriranih poslovnih subjekata (pravnih osoba) smješteno u Gradu Zagrebu. Udio Grada Zagreba za subjekte obrta i slobodnih zanimanja bitno je manji i iznosi 17,8%. Splitsko-dalmatinska županija na drugome je mjestu po brojnosti registriranih pravnih i fizičkih osoba, s udjelom od 10,3% odnosno 14,7%.

 

The data on the territorial distribution of business entities at the county level show that slightly less than one third of the total number of registered business entities (legal entities) were situated in the City of Zagreb. The City of Zagreb, however, had a significantly lower share in the entities in crafts and free lances (17.8%). The County of Split-Dalmatia followed, with a share of 10.3% of legal entities and 14.7% of natural persons.

 

 

 

Tri županije imaju više od 5% udjela registriranih pravnih osoba: Primorsko-goranska (8,4%), Istarska (7,6%) i Zagrebačka (6,2%). Isti je redoslijed tih županija i u broju fizičkih osoba.

 

Three counties had a share larger than 5% of registered legal entities: the County of Primorje-Gorski kotar (8.4%), the County of Istria (7.6%) and the County of Zagreb (6.2%). The number of natural persons came in the same order.

 

 

 

Teritorijalna struktura aktivnih trgovačkih društava različita je u odnosu na strukturu registriranih. Tako je npr. udio Grada Zagreba u skupinama tih subjekata u registriranim subjektima 34,6% i u aktivnima 34,7%. Udio po brojnosti druge županije, Splitsko-dalmatinske, u aktivnim 10,4% i u registriranim subjektima je 10,5%.

 

The territorial structure of active trade companies was different in relation to the structure of the registered ones. Hence, the City of Zagreb had a share of 34.6% of registered and 34.7% of active entities, while the share of the second largest county, the County of Split-Dalmatia, was 10.4% of active and 10.5% of registered entities.

Podaci o promjenama registriranih subjekata raspoređeni su u trima skupinama: osnivanje, brisanje i usklađenje. Oni pokazuju da se u naznačenom razdoblju smanjuje broj osnivanja, usklađenja i brisanja.

 

The data on the changes in registered entities are divided into three groups: creations, deletions and harmonisations. They show that in the mentioned period the number of creations, harmonisations and deletions decreased.

 

 

 

Udio trgovačkih društava u broju novoosnovanih subjekata u promatranom razdoblju iznosi 88,6%.

I Introduction

 

 

 

Na temelju Zakona o Nacionalnoj klasifikaciji djelatnosti (NN, br. 98/94.), Odluke o Nacionalnoj klasifikaciji djelatnosti– NKD 2007. (NN, br. 58/07. i 72/07.) i Pravilnika o razvrstavanju poslovnih subjekata prema Nacionalnoj klasifikaciji djelatnosti– NKD 2007. (NN, br. 55/16.) Državni zavod za statistiku vodi Registar poslovnih subjekata (u nastavku teksta: Registar). Registar, prema odredbama navedenog Pravilnika, obuhvaća pravne osobe, tijela državne vlasti, tijela jedinica lokalne i područne (regionalne) samouprave te dijelove tih subjekata (u nastavku teksta: poslovni subjekti). U Registar se zasad ne upisuju fizičke osobe koje obavljaju djelatnost u skladu s propisima, strane udruge koje imaju sjedište u Republici Hrvatskoj i poslovni subjekti koji nemaju sjedište u Republici Hrvatskoj.

 

Based on the Act on the National Classification of Activities (NN, No. 98/94), the Decision on the National Classification of Activities − NKD 2007. (NN, Nos 58/07 and 72/07) and the Ordinance on the Classification of Business Entities According to the National Classification of Activities − NKD 2007. (NN, No. 55/16), the Croatian Bureau of Statistics keeps the Register of Business Entities (hereinafter referred to as: Register). The Register, pursuant to provisions of the aforementioned Ordinance, includes legal entities, state government bodies and bodies of local and regional self-government units and parts thereof (hereinafter referred to as: business entities). The Register does not presently include natural persons engaged in activities according to regulations, foreign associations headquartered in the Republic of Croatia and business entities not headquartered in the Republic of Croatia.

 

 

 

NKD 2007. utemeljen je na Statističkoj klasifikaciji ekonomskih djelatnosti u Europskoj zajednici – NACE, Rev. 2, koja je obvezatna za države članice Europske unije.

 

The NKD 2007. is based on the Statistical Classification of Economic Activities in the European Community – NACE Rev. 2, which is obligatory in EU Member States.

 

 

 

Na temelju odluke ravnatelja te javno dostupnih i raspoloživih izvora tehničkom korekcijom u Registru poslovnih subjekata izbrisan je 72 341 poslovni subjekt.

 

Upon the technical correction of the Register of Business Entities, 72 341 business entities have been erased on the basis of the Director General’s decision and publicly accessible and available sources.

Upisom u Registar svakom se subjektu dodjeljuje sedmeroznamenkasti matični broj, a dijelu subjekta određuje se redni broj uz matični broj.

 

On registration, each business entity is assigned a seven-digit registration number, while its constituent parts are assigned an additional four-digit ordinal number besides that number.

 

 

 

Svakom subjektu i njegovu dijelu upisanu u Registar dodjeljuje se i šifra djelatnosti prema NKD-u 2007.

 

Moreover, each business entity and parts thereof are assigned an activity code according to the NKD 2007.

 

 

 

Subjekti upisani u Registar razvrstavaju se prema djelatnosti koju pretežito obavljaju tako da se prema NKD-u 2007. određuje brojčana oznaka razreda glavne djelatnosti. Kada je za poslovni subjekt rješenjem o upisu u Registar kod ovlaštenog tijela ili propisom utvrđeno obavljanje nekoliko djelatnosti, prvo razvrstavanje prema NKD-u 2007. provodi se na prijedlog poslovnog subjekta. Svako sljedeće razvrstavanje poslovnog subjekta kojim se mijenja glavna djelatnost provodi se:

 

Registered business entities are classified according to their prevailing activities in such a way that a numerical denotation of a class of the main activity is defined according to the NKD 2007. When, on the basis of a formal decision on registration with a competent authority or by law, a business entity is established to be engaged in more than one activity, the first classification according to the NKD 2007. is made upon the proposal of the business entity. Every subsequent classification of the business entity resulting in a change of the main activity is made in the following cases:

na zahtjev subjekta

Upon the request of the business entity

2)

prema službenoj dužnosti na temelju promjene rješenja o upisu u Registar kod nadležnog tijela ili na temelju promjene propisa.

Upon official duty, based on a change in the decision on registration with a competent authority or a change in the law.

 

 

 

Djelatnost dijelova poslovnog subjekta određuje se prema rješenju o upisu u Registar kod ovlaštenog tijela ili prema propisu o osnivanju ili temeljnoj namjeni osnivanja, neovisno o djelatnosti subjekta u čijem su sastavu.

 

The activity of the constituent parts of a business entity is established on the basis of a decision on registration with a competent authority or law on creation, irrespective of the activity of the business entity they are a part of.

 

 

 

Upis, prijava, promjena i odjava subjekta prati se dnevnom ažurnošću Registra. Pravni izvori za ažuriranje Registra jesu:

Teškoće u ažuriranju velikog broja jedinica Registra nastaju kao posljedica dugotrajnih prijelaznih razdoblja u kojima registarska tijela usklađuju poslovne subjekte prema novoj zakonodavnoj regulativi. Time se odgađa i postupak brisanja poslovnih subjekata koji nisu podnijeli zahtjev za usklađenje u skladu s novim propisima. Slijedom navedenoga kontinuirano se provodi promjena podataka Registra u skladu s naknadno prikupljenim podacima o poslovnim subjektima iz javnih (općedostupnih) zbirki podataka.

 

Difficulties in updating of a significant proportion of units in the Register are a consequence of long-term transition periods during which register bodies harmonise business entities according to a new legislation. This also postpones the procedure of deletions of business entities who have not submitted a request for harmonisation in line with new regulations. Consequently, the Register data are constantly changed in line with data on business entities subsequently collected from publicly available data bases.

 

 

 

Nedostatak u obuhvatu Registra odnosi se na poslovne subjekte koji obavljaju djelatnost obrta, slobodnih zanimanja, stranih udruga sa sjedištem u Republici Hrvatskoj i poslovnih subjekata koji nemaju sjedište u Republici Hrvatskoj. Osim toga, važno je istaknuti da postoje metodološke razlike između Registra, kao administrativne baze podataka i Statističkoga poslovnog registra (u nastavku teksta: eSPRi).

 

A lack in the coverage of the Register is related to business entities engaged in activities of crafts and free lances, foreign associations headquartered in the Republic of Croatia and business entities not headquartered in the Republic of Croatia. In addition, it must be pointed out that there are methodological discrepancies between the Register as an administrative data base and the Statistical Business Register (hereinafter referred to as: eSPRi).

 

 

 

Podaci Registra poslovnih subjekata povezani su s pomoću matičnog broja, registarskog broja i osobnoga identifikacijskog broja s administrativnim bazama podataka.

 

The data of the Register of Business Entities are linked to administrative data bases through an identification number, a registration number and a personal identification number.

Poslovni subjekti jesu pravne osobe i fizičke osobe koje obavljaju djelatnosti u skladu s pravnim propisima, tijela javne vlasti (tijela državne uprave, druga državna tijela, jedinice lokalne i područne (regionalne) samouprave, pravne osobe i druga tijela koja imaju javne ovlasti, pravne osobe čiji je osnivač Republika Hrvatska ili jedinica lokalne ili područne (regionalne) samouprave, pravne osobe koje obavljaju javnu službu, pravne osobe koje se na temelju posebnog propisa financiraju pretežito ili u cijelosti iz državnog proračuna ili iz proračuna jedinica lokalne i područne (regionalne) samouprave odnosno iz javnih sredstava (nameta, davanja i sl.) te trgovačka društva u kojima Republika Hrvatska i jedinice lokalne i područne (regionalne) samouprave imaju zasebno ili zajedničko većinsko vlasništvo.

 

Business entities are legal entities and natural persons that perform activities according to the law, public government bodies (government administration bodies, other government bodies, bodies of local and regional self-government units, legal entities and other public authorities, legal entities established by the Republic of Croatia or local and regional self-government units, legal entities performing public service, legal entities financed mostly or completely from the state or local and regional self-government units budgets, that is, from public funds (taxes, provisions etc.), on the basis of a special act as well as trade companies in which the Republic of Croatia or the local and regional self-government units hold individual or joint majority ownership.

 

 

 

Registrirane pravne osobe (poslovni subjekti) jesu jedinice upisane u Registar, i to: trgovačka društva, ustanove, zadruge, udruge, političke stranke, tijela javne vlasti i ostale neusklađene jedinice koje su imale pravnu osobnost prema propisima koji su prije bili na snazi.

 

Registered legal entities (business entities) are units that are registered in the Register. These are: trade companies, institutions, co-operatives, associations, political parties, public government bodies and other non-harmonised units that held a legal subjectivity status according to previously valid laws.

 

 

 

Aktivne pravne osobe (poslovni subjekti) jesu registrirane pravne osobe upisane u Registar, za koje je status aktivnosti određen prema podacima iz eSPRi-ja. 

 

Active legal entities (business entities) are registered legal entities entered into the Register, for which the activity status has been determined according to the eSPRi data. 

 

 

 

Fizičke osobe jesu jedinice koje obavljaju djelatnost u skladu s pravnim propisima, a odnose se na obrt i slobodna zanimanja.

 

Natural persons are units that carry out activities in line with the law and refer to crafts and trades and free lances.

 

 

 

Glavna djelatnost jest djelatnost koja se za poslovne subjekte koji ostvaruju dobit proizvodnjom, prometom robe ili pružanjem usluga na tržištu određuje prema najvećem udjelu u ukupnoj dodanoj vrijednosti. Za subjekte koji ne ostvaruju dobit proizvodnjom, prometom robe ili pružanjem usluga na tržištu glavna djelatnost određuje se prema najvećem udjelu broja zaposlenih, platnoj listi i isplaćenim bruto plaćama.

 

Main activity is an activity established according to the largest share in the total value added in the case of business entities that make profit through production, trade or rendering of services on the market or by the largest share in the number of persons in employment according to the payroll and gross paid-off salaries in the case of business entities that do not make profit through production, trade and rendering of services on the market.

 

 

 

Matični broj jest stalna identifikacijska oznaka svakoga poslovnog subjekta. Matični broj upotrebljava se u svim aktivnostima službene statistike. Određuje se postupkom dodjele kontrolnog broja prema modulu 11, dok se dijelu poslovnog subjekta određuje i četveroznamenkasti redni broj uz matični broj.

 

Identification number is a permanent identification denomination of each business entity. It is used in all activities of official statistics. It is determined in the process of allocation of a control number according to module 11, while any part of a business entity is at the same time determined a four-digit ordinal number along with the identification number.

 

 

 

Registarski broj je broj pod kojim je poslovni subjekt upisan u sudski ili drugi posebni registar.

 

Registration number is a number under which a business entity is entered in a court or another specific register.

 

 

 

Osobni identifikacijski broj (OIB) jest stalna identifikacijska oznaka obveznika OIB-a koju korisnici OIB-a upotrebljavaju u službenim evidencijama, u svakodnevnom radu i u razmjeni podataka. OIB je jedinstven, nekazujući, nepromjenjiv i neponovljiv.

 

Personal identification number (OIB) is a permanent identification designation of an OIB holder, used by OIB users in official records, in everyday activities and in data exchange. OIB is unique, non-revealing, unchangeable and non-iterative.

 

 

 

Pravno ustrojbeni oblik jest obilježje jedinica Registra na temelju kojega se one međusobno razlikuju kao dionička društva, društva s ograničenom odgovornošću, jednostavna društva s ograničenom odgovornošću, zadruge, ustanove, udruge, tijela državne vlasti i tijela jedinica lokalne i područne (regionalne) samouprave te drugi pravno ustrojbeni oblici. Pravno ustrojbeni oblik jedinica Registra određen je rješenjem nadležnoga registarskog tijela ili propisom o osnivanju na temelju kojeg su jedinice upisane u Registar.

 

Legal organisational form is a characteristic of units in the Register that divides them as joint-stock companies, limited liability companies, simple limited liability companies, co-operatives, institutions, associations, state government bodies and bodies of local and regional self-government units and other legal organisational forms. A legal organisational form of the Register has been determined by a decision of a competent registration body or by act on creation that is a basis for their entry into the Register.

 

 

 

Oblik vlasništva jest obilježje jedinica Registra koje pokazuje vlasničku strukturu jedinice, a odnosi se na vlasništvo sredstava, odnosno osnivački ulog poslovnog subjekta.

 

Type of ownership is a characteristic of units entered into the Register that indicates the ownership structure of the unit and refer to the ownership of assets, that is, to startup deposit of a business entity.

 

 

 

Broj zaposlenih upotrebljava se za iskazivanje veličine i strukture pravnih osoba. Dobiven je na temelju godišnjih financijskih izvještaja Fine. Radi dobivanja ažurnog stanja tih podataka danih u tablicama podaci su usklađeni s redovitim mjesečnim statističkim istraživanjem kojim se prati zaposlenost.

 

Number of persons in employment is the feature used for indicating the size and structure of business entities. It is derived from Fina’s annual financial reports. In order to update this feature, as indicated in tables, the data have been harmonised with the regular monthly statistical survey that covers employment.
